#POWEREDBYTWEETS COMPETITION OFFICIAL RULES
NO PURCHASE NECESSARY TO ENTER OR WIN THE COMPETITION.
- 1. SPONSOR: Twitter UK Ltd., 20 Air St, Soho, London W1B 5AG. (the “Sponsor”)
- 2. ELIGIBILITY:
- 2.1 The #PoweredByTweets Competition (the “Competition”) is open only to creative agencies or the creative departments of multi-disciplinary agencies located within the United Kingdom (an “Agency”).
- 2.1.1 Agencies must enter submissions into the Competition through teams of individuals who are employed at the Agency (each, a “Team”).
- 2.1.1.1 Teams may consist of between one (1) and five (5) individuals representing the Agency. Teams containing more than five (5) individuals are not permitted.
- 2.1.1.2 An individual may only be a member of one (1) Team.
- 2.1.1.3 Agencies may enter submissions into the Competition using multiple Teams, provided each submission is unique.
- 2.1.1 Agencies must enter submissions into the Competition through teams of individuals who are employed at the Agency (each, a “Team”).
- 2.2 Individuals on a Team must be at least eighteen (18) years of age or older as of the date of entry.
- 2.3 Teams must have access to the Internet.
- 2.4 This Competition is not available to anyone outside of the United Kingdom and where prohibited or restricted by law.
- 2.5 Officers, directors, and employees of the Competition Entities (as defined below), members of these persons’ immediate families (partners and/or parents, children, and siblings, and their partners, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter on behalf of an Agency or win the Competition.
- 2.6 “Competition Entities”, shall include Sponsor, and any of its respective parent companies, affiliate companies, subsidiaries, agents, professional advisors, advertising, promotional, public relations, and fulfilment agencies, consultants, and legal counsel.
- 2.1 The #PoweredByTweets Competition (the “Competition”) is open only to creative agencies or the creative departments of multi-disciplinary agencies located within the United Kingdom (an “Agency”).
- 3. TIMING:
- 3.1 The Competition consists of two (2) separate phases:
- 3.1.1 The “Entry Phase” will begin on 12th May 2022 at 0:00:01 b British Summer Time (“BST”) and the closing date for submission of entries shall be 15th September 2022 at 23:59:59 BST.
- 3.1.1.1 All submissions must be received during the Entry Phase and meet other requirements in these Official Rules to be eligible to be selected as a Finalist (as described in Section 6 below).
- 3.1.1.2 Finalists will be selected on or about 06th October 2022 as further described in Section 6 below. There will be approximately 5 Finalists (each, a “Finalist”) selected provided that at least 5 eligible submissions are received during the Entry Phase.
- 3.1.2 The “Pitch" will begin on or about 06th October 2022.
- 3.1.2.1 The Pitch will occur in-person at a central London location or online if this is not possible.
- 3.1.2.2 Teams must be able to pitch in-person or online on or about 27th October 2022 (the “Pitch”) if selected as a Finalist.
- 3.2 The Sponsor’s computer is the official Competition clock.
- 3.1.1 The “Entry Phase” will begin on 12th May 2022 at 0:00:01 b British Summer Time (“BST”) and the closing date for submission of entries shall be 15th September 2022 at 23:59:59 BST.
- 3.1 The Competition consists of two (2) separate phases:
- 4. HOW TO ENTER:
- 4.1 The Competition ask is to present an ‘idea for good’ that is powered by Twitter (“Idea”) as further described in Section 4.2 below. Ideas can be in support of an existing registered charity.
- 4.2 Submissions of Ideas should fall under one (1) of the following categories, however, if an Agency has another charitable partner or other social cause that does not fall within the above categories, they may still submit an Idea:
- 4.2.1 Internet safety and education: Promoting online safety by tackling issues such as bullying and harassment.
- 4.2.2 Environmental conservation and sustainability: Raising awareness and encouraging action to protect the environment.
- 4.2.3 Equality: Promoting equal opportunity and universal acceptance of all people.
- 4.2.4 Freedom of Expression and Civil Liberties: Championing free expression and defending civil liberties.
- 4.2.5 Crisis and emergency response: providing assistance to people when emergencies and natural disasters strike.
- 4.2.6 The Ideas must be in support of a registered United Kingdom charity. No Ideas for political or for-profit organisations will be considered. Whether an Idea is for a sufficiently good cause to be eligible for entry (or otherwise ineligible) will be determined by Sponsor in its sole opinion.
- 4.3 During the Entry Phase (12th May 2022 – 15th September 2022):
- 4.3.1 Visit the online portal at https://poweredbytweets.com (“Website”) to view and download the submission template.
- 4.3.2 Once you have set out your Idea in the submission template ("Submission Template") and your completed submission template is ready, return to the Website, click “Enter Now” and follow the online instructions to submit the requested registration information, which may include, but is not limited to, the full name(s) of all Team members, Agency name, Idea name, e-mail addresses for all Team members, a primary phone number for the Team, an upload link for the Submission Template (if any), and acknowledgement that all members of the Team have read and agrees to these Official Rules.
- 4.3.3 Follow the online instructions to upload the Submission Template.
- 4.3.4 The registration information and Submission Template are collectively referred to as a “Submission”.
- 4.3.5 You must complete your Submission as instructed to receive an entry into the Competition. Submissions received by postal mail, facsimile or other means not expressly permitted in these Official Rules will not be considered.
- 4.3.6 All Submissions must comply with the requirements of the entry instructions and be in the English language.
- 4.4 Limits: Limit one (1) Submission per Team.
- 4.4.1 No individual person may upload more than one (1) Submission into the Competition. For example, an individual is not permitted to submit on behalf of a specific Team and then upload a second Submission on behalf of another Team.
- 4.4.2 Likewise, no Team may upload more than one (1) Submission.
- 4.4.3 An Agency may submit multiple Ideas through multiple Teams provided the Teams and Ideas are all unique.
- 4.4.4 Attempts of an individual to enter multiple Submissions will result in disqualification.
- 4.4.5 Bulk or automated Submissions will be disqualified (including, for example, Submissions made using any script, macro, bot, or promotional service).
- 4.4.6 Team members are not permitted to share the same e-mail account.
- 4.4.7 Any attempt to obtain additional Submissions through fraud, bots, or other illegitimate means will result in disqualification at Sponsor’s discretion.
- 4.5 Agency must have approached the charity and they must have agreed to the Idea prior to the Submission.
- 4.6 By completing your Submission, you agree that your Submission conforms to the Guidelines and Restrictions detailed below. Sponsor may, in its discretion, reject any Submission and disqualify you from the Competition if it believes that your Submission fails to conform with the Guidelines and Restrictions.
- 5. SUBMISSION GUIDELINES AND RESTRICTIONS:
- 5.1 The Submission must not contain untruthful, incomplete, inaccurate or misleading information.
- 5.2 The Submission must be a Team’s original creation and be owned 100% by the Agency, or alternatively the Agency must have the full rights to grant the license and rights granted to Sponsor in Section 14 below.
- 5.3 The Submission must not (in Sponsor’s discretion):
- 5.3.1 Violate any third-party intellectual property or other rights, including, but not limited to, copyrights, trade mark rights, patent rights, confidentiality, or rights of privacy and publicity;
- 5.3.2 Contain disparaging or defamatory statements;
- 5.3.3 Include threats to any person, place, business, or group;
- 5.3.4 Be obscene, offensive, or indecent;
- 5.3.5 Depict any risky behaviour;
- 5.3.6 Contain material that promotes bigotry, racism, hatred or harm, against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
- 5.3.7 Contain unauthorised third-party trademarks or logos; and/or
- 5.3.8 Otherwise be offensive or inappropriate in any manner.
- 5.4 By providing a Submission, the Agency and each Team member represents and warrants that:
- 5.4.1 The Submission does not violate any applicable law, rule or regulation;
- 5.4.2 To the extent the Submission depicts any individual or features the voice of any individual, the Team member is the individual pictured and heard in the Submission, or, alternatively, that the Agency has obtained written permission from each person appearing in the Submission to grant the rights to Sponsor described in these Official Rules, and can make written copies of such permissions available to Sponsor upon request;
- 5.4.3 That each Team member has authorised the Submission and expressly agrees to these Official Rules and that each Team member has the authority and permission to agree to these Official Rules and to submit the Submission on behalf of the Agency;
- 5.4.4 The Submission complies fully with Twitter website terms of use, policies, and guidelines; and
- 5.4.5 The Submission complies fully with all requirements of these Official Rules.
- 5.5 By providing a Submission and otherwise participating in this Competition, each Team member represents and warrants that their participation in the Competition does not violate the terms of their employment (including, without limitation, any procedures established by the Agency with respect to participating in promotions).
- 6. SELECTION OF FINALISTS:
- 6.1 At the conclusion of the Entry Phase a panel of qualified judges from Twitter (“Judges”) will, in their discretion, score each eligible Submission based on the following weighted criteria (“Judging Criteria”):
- 6.1.1 Understanding of the human insight the Idea is based upon (25%)
- 6.1.2 Clear understanding of, and effective use of, the Twitter platform (25%)
- 6.1.3 Potential positive impact for the not-for-profit organisation or cause (25%)
- 6.1.4 Creativity and originality (25%)
- 6.2 Approximately five (5) top scoring Submissions will be selected as a finalist (each, a “Finalist”), provided that at least 5 eligible Submissions are received.
- 6.3 In the event of a tie, the following tie-breakers shall be applied:
- 6.3.1 First, the Submission with the highest Judge’s score in “Understanding of the human insight the idea is based upon” will be deemed the Finalist.
- 6.3.2 In the event a tie still persists, the Submission with the highest Judge’s score in “Clear understanding of, and effective use of, the Twitter platform” will be deemed the Finalist.
- 6.3.3 In the event a tie still persists, the Submission with the highest Judge’s score in “Potential positive impact for the not-for-profit organisation or cause” will be deemed the Finalist.
- 6.3.4 In the event a tie still persists, the tied Submissions will each become a potential Finalist.
- 6.4 Each potential Finalist Team will be notified via e-mail within three (3) business days of the date of selection.
- 6.5 As a condition of moving into the Pitching Phase, each Finalist Team member must follow the instructions contained in the notification, and except where prohibited by law, Sponsor may require each Finalist Team member, on behalf of the Agency, to execute and deliver a written Declaration of Eligibility and Liability/Publicity Release, acceptance of these Official Rules, proof of identity, and other reasonable documentation. The previously-mentioned documents may also be submitted electronically.
- 6.6 Each selected Finalist is deemed a Finalist until his/her eligibility and compliance with these Official Rules is verified.
- 6.7 Each Agency representing a Finalist will be solely responsible for all travel expenses associated with the Team attending the Pitching Phase.
- 6.8 If a Finalist Team does not present at the Pitching Phase, such Finalist will not be eligible to win a prize.
- 6.1 At the conclusion of the Entry Phase a panel of qualified judges from Twitter (“Judges”) will, in their discretion, score each eligible Submission based on the following weighted criteria (“Judging Criteria”):
- 7. PITCHING PHASE AND WINNER SELECTION:
- 7.1 On or about 27th October 2022 all Finalist Teams will meet at the Twitter UK offices in central London (or online if this is not possible) to pitch their Idea (“Pitch Event”) to a team comprised of members of the Twitter executive team and leading creative talent (“Pitch Panel”). Each Finalist Team must give a 10-minute presentation on their Submission, to the Pitch Panel, followed by five (5) minutes for questions from the Pitch Panel.
- 7.2 The Pitch Panel will, in their discretion, score each Finalist based on the following criteria (“Pitch Criteria”):
- 7.2.1 Understanding of the human insight the idea is based upon (1 – 5 points)
- 7.2.2 Clear understanding of, and effective use of, the Twitter platform (1 – 5 points)
- 7.2.3 Potential positive impact for the not-for-profit organisation or cause (1 – 5 points)
- 7.2.4 Creativity and originality (1 – 5 points)
- 7.3 The one (1) Finalist with the highest overall Pitch Panel’s score will be deemed the potential “Grand Prize Winner”. The one (1) Finalist Submission with the next-highest overall Pitch Panel’s score will be deemed the potential “Runner Up”.
- 7.4 In the event of a tie, the following tie-breakers shall be applied:
- 7.4.1 First, the Finalist with the highest Pitch Panel score in “Creativity and originality” will be deemed a potential winner.
- 7.4.2 In the event a tie still persists, the Finalist with the highest Pitch Panel score in “Understanding of the human insight the idea is based upon” will be deemed a potential winner.
- 7.4.3 In the event a tie still persists, the Finalist with the highest overall Pitch Panel score in “Potential positive impact for the not-for-profit organisation or cause” will be deemed a potential winner.
- 7.4.4 In the event a tie still persists, all tied Finalists will be judged by a new set of Sponsor-selected qualified judges using the Pitch Criteria set forth above to determine the potential winner.
- 7.5 Winners will be announced in-person at the Pitch Event.
- 7.6 Subject to Section 10.5, in the event that a member of the Finalist Team that travels to the Pitch Event engages in behaviour during travel that (as determined by Sponsor) that is illegal, tortious, or subjects the Finalist Team member to detention, Sponsor will have no obligation to pay any damages, fees, fines, judgments, or other costs or expenses of any kind incurred by the Finalist Team member as a result of such conduct. Subject also to Section 10.5, Sponsor shall have no liability for any personal injury or death not caused by negligence, property damage, or other damages or expenses resulting from or arising out of any travel related to the Pitch Event.
- 8. PRIZES:
- 8.1 Grand Prize (1): The Grand Prize Winner will receive £100,000-worth of Twitter advertising credits to promote the Grand Prize winning Idea and a trophy (“Grand Prize”).
- 8.2 Runner Up Prize (1): The Runner Up Winner will receive £50,000-worth of Twitter advertising credits to promote the Runner Up winning Idea (“Runner Up Prize”).
- 8.3 Limit: Only one (1) Grand Prize and one (1) Runner Up Prize will be awarded. If, by reason of a print or other error, more prizes are claimed than the prizes set forth in these Official Rules, the advertised number of winner(s) will be selected in accordance with the above Judging Criteria from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.
- 8.4 General Prize Details: Each prize will consist of the Twitter advertising credits set forth above for each prize, plus the following:
- 8.4.1 Two (2) 1-2 hour workshops with at least two (2) members of Twitter UK Brand Strategy team to help develop and refine the Idea.
- 8.4.2 Two (2) 1-2 hour workshops with at least one (1) member of Twitter UK Labs team to develop and refine any production elements relating to the campaign.
- 8.4.3 Six (6) hours of e-mail and telephone support from a Twitter UK advertising manager to assist with set-up and delivery of the Twitter advertising promotion.
- 8.4.4 Assistance with entry into national and international awards in the form of one (1) 1-2 hour workshop with Twitter UK Brand Strategy to assist with the award entry. Additionally, eight (8) hours of Twitter UK Research time will also be available to provide Twitter data that may assist the Twitter advertising promotion.
- 8.5 The value of each prize will be calculated by Sponsor based on the marketplace rates that Sponsor uses for advertising revenue generation, and Sponsor will have discretion over the promotional content and advertising campaign elements in connection with providing such marketing and publicity-based prizes (including, without limitation, advertising inventory/category, placement, timing, objectives).
- 8.6 The promotion of each prize via Twitter advertising space will occur at Sponsor’s discretion from the time the prize is awarded through six (6) months of the campaign starting.
- 8.7 Prize Conditions:
- 8.7.1 No substitutions or exchanges (including for cash) of any prizes will be permitted, except that Sponsor (or Sponsor’s designee or affiliate) reserves the right to substitute a prize of comparable or greater value (including a cash alternative) for any prize.
- 8.7.2 Prize payment(s) may be made by Sponsor or Sponsor’s designee or affiliate.
- 8.7.3 All prizes are awarded 'AS IS' and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).
- 8.7.4 Sponsor (or Sponsor’s designee or affiliate) will not replace any lost or stolen prize or components of a prize.
- 8.7.5 Any unclaimed and/or unused prize (or portion of the prize package) will remain in the Sponsor’s possession.
- 8.7.6 All prizes must be used in their entirety by 31 December 2023.
- 9. DISCLAIMER: Sponsor and any of its respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, consultants, contractors, legal counsel, public relations firms, employees and advertising, fulfilment and marketing agencies (collectively, the “Released Parties”) will not be responsible for: (a) any late, lost, misrouted, garbled or distorted or damaged transmissions or Submissions; (b) telephone, electronic, hardware, software, network, Internet, or other computer or communications-related malfunctions or failures; (c) any Competition disruptions, injuries, losses or damages caused by events beyond the control of Sponsor or by non-authorised human intervention; or (d) any printing or typographical errors in any materials associated with the Competition, except to the extent entrant incurred damages directly due to the Released Parties’ wilful misconduct or negligence.
- 10. LIMITATION OF LIABILITY/RELEASE:
- 10.1 By entering the Competition, each Agency releases, on behalf of itself and Team members, Sponsor and all Released Parties from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Competition or delivery, misdelivery, acceptance, possession, use of, or inability to use, any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injury or death not caused by negligence, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.
- 10.2 The #PoweredByTweets Competition is not intended, and should not be construed, to imply any particular certification from Twitter and is not an express or implied endorsement by Twitter of the winning Agencies or their Teams in any way.
- 10.3 THE RELEASED PARTIES WILL HAVE NO LIABILITY FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, PUNITIVE, INDIRECT, OR INCIDENTAL DAMAGES, ARISING FROM OR RELATED TO YOUR PARTICIPATION IN THE COMPETITION OR USE OR INABILITY TO USE ANY EQUIPMENT OR SOFTWARE PROVIDED FOR USE IN THE COMPETITION OR ANY PRIZE OR THE USE OF THE TWITTER, INC. OR COMPETITION WEBSITE, EVEN IF A RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- 10.4 IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE COMPETITION OR USE OF OR INABILITY TO USE ANY EQUIPMENT OR SOFTWARE PROVIDED FOR USE IN THE COMPETITION OR ANY PRIZE EXCEED £50.
- 10.5 THE FOREGOING DISCLAIMER OF CERTAIN DAMAGES AND LIMITATIONS OF LIABILITY WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, NOTHING IN THESE TERMS EXCLUDES OR LIMITS THE RELEASED PARTIES’ LIABILITY CAUSED BY ANY OF THE RELEASED PARTIES’ FOR FRAUD OR FRAUDULENT MISREPRESENTATION, FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE OR FOR ANY OTHER MATTER THAT CANNOT BE LIMITED OR EXCLUDED BY LAW.
- 10.6 ANY OF THE ABOVE LIMITATIONS OR EXCLUSIONS THAT ARE PROHIBITED BY LAW IN A PARTICULAR AGENCY’S JURISDICTION WILL NOT APPLY TO SUCH AGENCIES AND ITS TEAM MEMBERS.
- 11. PRIVACY:
- 11.1 Please refer to Sponsor’s Privacy Policy at https://twitter.com/privacy.
- 11.2 Registration information is processed by the Sponsor as a processor for the purposes of conducting and administering the Competition.
- 11.3 If your Submission is selected as a Finalist or winner, the Sponsor may use the registration information to verify your identity, e-mail address and/or telephone number.
- 11.4 If you do not provide the registration information when requested, your Submission will not be eligible for any prize.
- 12. USE OF AGENCY AND TEAM MEMBER’S NAME, LIKENESS, ETC.:
- 12.1 Except where prohibited by law, entry into the Competition constitutes permission to use each Finalist Agency and/or winner’s Team member’s name, Agency location, aural and visual likeness and prize information for Twitter and any Twitter designee’s advertising, marketing, and promotional purposes without further permission or compensation (including in a public-facing winner list).
- 12.2 As a condition of being a Finalist or being awarded any prize, except where prohibited by law, each Finalist and/or winning Agency may be required to execute a consent to the use of Team member’s names, Agency location, aural and visual likeness and prize information for such advertising, marketing, and promotional purposes without further permission or compensation.
- 12.3 By entering this Competition, Team members and Agency management consent to being contacted by Sponsor for any purpose in connection with this Competition.
- 13. PERSONALLY IDENTIFIABLE INFORMATION:
- 13.1 Except as part of the registration information collected at the Website, a Team member will neither:
- 13.1.1 Provide data to Sponsor within the Submission that constitutes or contains any PII (as defined below), nor
- 13.1.2 Link (or attempt to link) any data provided by Sponsor to data that constitutes or contains any PII.
- 13.2 As used herein, “PII” means personally identifiable information; i.e., data that can be used to identify a person or a household.
- 13.1 Except as part of the registration information collected at the Website, a Team member will neither:
- 14. LICENCE TO SUBMISSION:
- 14.1 Each Agency grants to Sponsor a royalty-free, worldwide licence (“Licence”) for the maximum duration permitted by law to publish, reproduce, display, perform, distribute, adapt, edit, modify, translate, create derivative works based upon, and otherwise use and sublicense the Submission, or any portion thereof, in any manner, form, media or technology now known or later developed.
- 14.2 Without limiting the foregoing, this License includes the right to make editorial revisions to the Submission, to use and publish the Submission in any manner and form, including electronic form, on the Website or in other media, whether now or later created; to use the Submission for Sponsor's own internal business purposes; to reproduce and distribute the Submission for advertising, marketing, promotional and publicity purposes and to sublicense any of the foregoing to third parties.
- 14.3 Each Agency further grants to Sponsor the right to use its name, image, and Team member’s aural and visual likeness on and in connection with the Submission and the Website, including without limitation use in the exhibition, broadcast, distribution, advertising, marketing, or promotion of the Submission and the Website, and any competitions offered through the Website.
- 14.4 Sponsor will have no obligation to publish, use or retain any Submission submitted and may remove any Submission from the Website at any time in its sole discretion.
- 14.5 At Sponsor's (or Sponsor’s designee’s or affiliate’s) request, a Team member, on behalf of the Agency, agrees to sign a written agreement confirming the terms of this Agreement and to take other measures that Sponsor (or Sponsor’s designee or affiliate) reasonably requests to evidence the rights granted in this agreement.
- 14.6 Submissions submitted to Sponsor in connection with the Competition will not be returned to any Team member or Agency.
- 14.7 You agree to take, at Sponsor's expense, any further action (including, without limitation, execution of declarations and other documents) reasonably requested by Sponsor or Sponsor’s designee or affiliate to effect, perfect or confirm Sponsor's license rights as set forth herein.
- 15. ADDITIONAL TERMS:
- 15.1 Agencies and their respective Team members may participate in this Competition through the Internet and method announced in these Official Rules, provided that they meet the eligibility requirements.
- 15.2 To be eligible for a prize, the Agency and associated Team members must be in compliance with the Official Rules.
- 15.3 Agencies and their respective Team members agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects.
- 15.4 Sponsor reserves the right to change these Official Rules at any time in order to reasonably improve the clarity or fairness of the Official Rules or overall fairness of the Competition.
- 15.5 Sponsor also reserves the right to suspend or cancel the Competition or any entrant's participation in the Competition should viruses, bugs, unauthorised human intervention or other causes beyond Sponsor's control affect the administration, security or proper implementation of the Competition, or Sponsor otherwise becomes incapable of running the Competition as planned for any reason.
- 15.6 Each Team member must be the authorised account holder of a valid e-mail account.
- 15.6.1 “Authorised account holder” is defined as the person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
- 15.6.2 In case of a dispute over the identity of an Agency or Team member, the authorised account holder of the e-mail address used to enter will be deemed to be the Team member and their associated Agency.
- 15.7 Agencies or their respective Team members who violate these Official Rules, violate any law, rule or regulation in connection with participation in the Competition, tamper with the operation of the Competition or engage in any conduct that is detrimental or unfair to Sponsor, the Competition or any other entrant are subject to disqualification by Sponsor from participating in the Competition.
- 15.8 Any attempt to deliberately damage the Competition or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law.
- 15.9 Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Competition, as the Sponsor may determine. Sponsor reserves the right to permanently disqualify from any promotion any person it believes has intentionally violated these Official Rules.
- 15.10 Sponsor reserves the right to disqualify any Submissions received that contain inappropriate or offensive content.
- 15.11 Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect.
- 15.12 The failure of Sponsor to comply with any provision of these Official Rules due to any acts beyond Sponsor or Administrator's reasonable control, including but not limited to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules.
- 15.13 Submissions that are incomplete, non-deliverable for any reason, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.
- 15.14 Competition Entities are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic (including but not limited to programming) error; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, illegible or returned.
- 15.15 Sponsor reserves the right to cancel, modify, or suspend the Competition or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select Finalists in a random drawing from among all eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, or suspension.
- 15.16 Sponsor may prohibit any Agency or Team member from participating in the Competition, if such Agency or Team member shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or Sponsor’s agents or representatives, including but not limited to the Competition Entities; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion).
- 16. DISPUTES: The Competition is governed by, and will be construed in accordance with, English law and each party submits to the exclusive jurisdiction of the courts of England and Wales, without regard to principles of conflicts of laws.
